Terms of Service

1.The agreement

These Terms of Service (“Terms”) are a contract between you and Hardcut Media (“we”, “us”), the operator of Contentinsync (“the Service”), a tool for planning, approving, publishing and measuring short-form social content. By creating an account, joining a workspace, or paying for a plan you accept these Terms and our Privacy Policy. If you use the Service on behalf of a company or client, you confirm you have authority to bind them, and “you” includes them.

2.Accounts and workspaces

  • The Service is for business use. You must be at least 18 and able to enter a contract.
  • Each workspace has one owner, who controls billing and team membership. Teammates join by invitation and get the role the owner assigns (admin, member or viewer).
  • New workspaces may need our approval before they open. We can decline or delay approval at our discretion.
  • Keep your sign-in details private. You are responsible for everything done through your account and workspace.

3.Plans, payment and automatic renewal

  • Plans. Prices for the monthly and annual plans are shown on the Billing page and at checkout. Prices exclude any taxes, which are added where they apply.
  • Automatic renewal. A plan started with PayPal or Venmo is a subscription: it renews automatically at the end of each billing period (monthly or yearly) at the then-current price until you cancel. You authorise us and our payment processor to charge your chosen payment method on each renewal date.
  • Prepaid periods. A payment made with a card entered on the checkout page, or with Apple Pay, covers one billing period only and does not renew. When it ends, access closes until you pay again from Billing.
  • Payment processing. Payments are handled by PayPal, Inc. (including Venmo and card processing) under its own terms. We never receive or store full card numbers.
  • Failed payments. If a renewal fails, you keep access for seven days while it is retried. If it still fails, the workspace is locked until a payment goes through.
  • Price changes. We may change prices with at least 30 days’ notice by email. Changes take effect at your next renewal after the notice period; you can cancel before then.
  • Free access. We may mark a workspace as exempt from billing. We can withdraw that at any time with notice.

4.Cancellation and refunds

  • You can cancel a subscription at any time from the Billing page. Cancellation stops future charges; you keep access until the end of the period already paid for.
  • You can also switch between monthly and annual from Billing. A switch takes effect at your next renewal.
  • Payments are non-refundable, and unused time in a billing period is not refunded, except where the law requires a refund or where we have chosen to give one. If you think you were charged in error, email support@contentinsync.com within 14 days of the charge.

5.Connected social accounts

When you connect an Instagram, Facebook or TikTok account you confirm that you own it or are authorised to act for its owner. You allow the Service to publish content approved for that account and to read its performance metrics on your behalf. Your use of those platforms is also governed by their terms, and you are responsible for following each platform’s rules, including on advertising disclosures, music licensing and community standards. You can disconnect an account at any time from the Service or from the platform’s own settings.

6.Your content

  • You keep all rights to the videos, captions, images, transcripts and other material you and your team put into the Service (“Content”).
  • You give us a licence to store, process, transcribe, display and transmit your Content only as needed to run the Service for you: for example, to generate captions, to show it to the teammates and clients you share it with, and to publish it to the accounts you connect.
  • You are responsible for your Content and confirm you have the rights and permissions needed to use and publish it, including from anyone who appears in it.
  • Approval links let a client review Content before it is published. Whoever holds an approval link can view and approve that Content; share links with care.

7.Acceptable use

You agree not to use the Service to:

  • publish content that is unlawful, infringing, deceptive, harassing or that breaks a platform’s rules;
  • connect accounts you are not authorised to manage, or evade a platform’s limits or bans;
  • send spam or engagement manipulation;
  • probe, overload, reverse engineer or interfere with the Service, or access it by automated means other than through features we provide;
  • resell or share a single workspace with businesses that are not part of your team or client roster.

8.Support access and service improvement

Our staff may open your workspace in a logged, read-only support view to help you, to investigate a problem, or to check that the Service is being used as agreed. We may use aggregate, de-identified usage information to improve the Service. We do not take your Content or client lists and use them for other customers or for our own marketing. See the Privacy Policy for details.

9.Third-party services and availability

The Service depends on services we do not control, including Instagram, Facebook and TikTok APIs, Dropbox, PayPal and our hosting providers. These can change, limit access or fail without notice. We do not guarantee that a post will go live at an exact time, that metrics will be complete, or that the Service will be uninterrupted or error-free. We may modify or withdraw features, and we will try to give reasonable notice of material changes.

10.Suspension and termination

  • You can stop using the Service at any time. The owner can cancel the plan from Billing, and any user can ask us to delete their data.
  • We may suspend or terminate access if you breach these Terms, if a platform requires it, if payment fails, or if continuing would create legal or security risk. Where practical we will tell you why and give you a chance to fix it.
  • After termination we may delete workspace data after a reasonable period. Sections 6, 11, 12 and 13 survive termination.

11.Disclaimer of warranties

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that content will be published at any particular time, that metrics are accurate, or that transcripts and generated captions are free of errors; review them before publishing.

12.Limitation of liability

To the fullest extent permitted by law, Hardcut Media will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, followers, data or goodwill, arising from or related to the Service, even if advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13.Indemnification

You will defend and indemnify Hardcut Media against claims, losses and expenses (including reasonable legal fees) arising from your Content, your connected accounts, your breach of these Terms, or your breach of a platform’s rules or of applicable law.

14.Changes to these Terms

We may update these Terms. For material changes we will give notice by email or in the Service at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms. The “last updated” date above shows the current version.

15.Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to contact us and try in good faith to resolve the matter for 30 days. Any dispute not resolved that way will be brought in the courts of that jurisdiction, and you consent to their jurisdiction. Nothing in these Terms limits rights you have as a consumer that cannot be waived.
